Terms of Service
These Terms of Service are an agreement between Tech Innovation Hub LLC, doing business as AIDevPortal, and the organization or person accepting them. They govern our websites, trials, subscriptions, applications, APIs, and support services.
1. Agreement and authority
By creating an account, starting a trial, accepting an order form, or using the service, you accept these terms and our Acceptable Use Policy. If you act for an organization, you confirm that you have authority to bind it. You must be at least 18 and legally able to enter a contract.
An executed order form, Data Processing Agreement, or negotiated agreement may add to or replace parts of these terms. The negotiated document controls for a direct conflict.
2. Accounts and authorized users
You are responsible for accurate account information, authorized users, role assignments, credentials, and activity under your workspace. Notify us promptly of suspected unauthorized access. You may not share accounts in a way that defeats seat, security, or usage controls.
3. Service, trials, and changes
AIDevPortal provides configurable assistants, agents, workflows, knowledge, reporting, integrations, and related tools. Features, model availability, and limits vary by plan, region, and configuration.
Trials are evaluation access for the stated period and have published limits. Unless a paid plan is selected, the workspace becomes read-only when the trial ends. The expiry notice starts a 30-day upgrade and export window, with a final warning before the deadline. Automated offboarding suspends the workspace and schedules active workspace data for purge after that window; an owner request is not required. Owners may start the verified deletion process sooner. We may update the service, but will not materially reduce contracted core functionality during a paid term without reasonable notice.
4. Subscriptions, billing, and cancellation
Paid subscriptions renew for the billing period shown at checkout or in an order form unless canceled before renewal. Fees are charged in advance, are exclusive of applicable taxes, and are generally non-refundable except where law or a written agreement requires otherwise.
Self-service upgrades may take effect immediately with prorated charges. Downgrades and cancellations normally take effect at the end of the current billing period. Failed or overdue payment may result in restricted or suspended access after notice.
5. Customer data and confidentiality
As between the parties, the customer retains ownership of customer data. The customer gives AIDevPortal a limited right to host, copy, transmit, process, and display that data only as needed to provide, secure, support, and improve the contracted service or follow documented instructions.
Each party will protect the other's non-public business information with reasonable care and use it only for the agreement. Confidentiality does not cover information that is public without breach, independently developed, already lawfully known, or lawfully received from another source.
6. AI inputs, outputs, and human review
The customer is responsible for inputs, instructions, connected data, approval settings, and how outputs are used. AI outputs can be inaccurate, incomplete, or similar to outputs provided to others. Material business, legal, medical, financial, employment, safety, or regulated decisions require qualified human review.
To the extent permitted by applicable law and provider terms, the customer may use outputs generated for its workspace. AIDevPortal does not claim ownership of customer inputs or customer-specific outputs.
7. Connected systems and third-party services
You authorize AIDevPortal to access connected systems only within the permissions you approve. You are responsible for having the necessary rights and for complying with each provider's terms. Third-party services, model providers, and connectors may change, suspend, or fail independently of AIDevPortal.
8. Acceptable use
You must follow our Acceptable Use Policy and applicable law. You may not abuse the service, violate others' rights, bypass limits, interfere with security, or use automated outputs as the sole basis for prohibited high-impact decisions.
9. Security and data processing
We maintain reasonable safeguards described in our security and trust materials. Our Data Processing Agreement applies when we process personal data on the customer's behalf. Contract-specific security, residency, recovery, support, or service-level commitments apply only when included in an executed order form.
10. Suspension and termination
We may suspend affected access when reasonably necessary for security, legal compliance, nonpayment, material policy violations, or protection of the service. We will provide notice and an opportunity to cure when practicable.
At termination, the customer should export required data before access ends. Export, retention, and deletion follow the Data Export and Deletion page and any controlling order form.
11. Warranties and disclaimers
We will provide paid services with reasonable care and substantially as described. Except for express commitments in an agreement and to the maximum extent allowed by law, the service is provided as available without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted and error-free operation.
12. Limitation of liability
To the maximum extent allowed by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or lost profits, revenue, goodwill, or data. Except for amounts that cannot legally be limited and any different negotiated cap, each party's aggregate liability is limited to fees paid or payable for the service during the 12 months before the event giving rise to the claim.
13. Governing law and notices
These terms are governed by Texas law, without regard to conflict-of-law rules. Courts located in Harris County, Texas have exclusive jurisdiction unless an order form states otherwise. Legal notices to AIDevPortal may be sent to [email protected] and must identify the customer and subject.
14. Changes
We may update these terms prospectively. We will provide reasonable notice of material changes. Continued use after the effective date constitutes acceptance where permitted by law; otherwise the existing terms continue through the current paid term.
